Justin "J.T." Ho is an experienced advisor on public company reporting, corporate governance, equity and incentive compensation, and public company offerings and acquisitions. J.T. has significant experience advising public companies on the impact of ISS, Glass Lewis and institutional investor policies and the shareholder relations issues that arise in connection with corporate governance, board and executive compensation matters. J.T. is on the advisory board of Corporate Counsel and was named a Rising Star by Super Lawyers in 2018, 2019 and 2020. He is also a frequent presenter at NASPP and has contributed many articles to LexisNexis on corporate governance matters.
Mark Borges
Compensia, Inc.
Mark Borges is a principal with Compensia, Inc., a management consulting firm providing executive compensation advisory services to compensation committees and senior management of knowledge-based companies. Previously, he was a principal for Mercer in its Washington Resource Group in Washington, DC. and served as Special Counsel in the Office of Rulemaking, Division of Corporation Finance with the Securities and Exchange Commission.  Mr. Borges is the author of SEC Executive Compensation Disclosure Rules (2nd Ed.), published by the American Bar Association, and a co-author of the Lynn, Borges & Romanek Executive Compensation Disclosure Treatise and Reporting Guide.
Josh Schaeffer
Director, Valuation Practice Leader
Equity Methods 
Josh Schaeffer is a director and practice leader for Equity Methods' valuation practice. He leads the delivery of valuation and advisory services related to complex securities. In this role, he leads valuation projects related to a wide array of derivative securities pertaining to employee compensation agreements, private companies, partnerships, earnouts, and guarantees. Prior to joining Equity Methods, Josh worked with Deloitte Financial Advisory Services and Cornerstone Research. In these roles, he focused on valuations and statistical analyses of businesses and investments for financial reporting, tax, consulting, litigation, and arbitration purposes.
Derek Windham
Vice President, Associate General Counsel
Hewlett Packard Enterprise
Derek Windham is currently Vice President, Associate General Counsel at Hewlett Packard Enterprise, leading the Corporate, Securities, and Finance legal team. As part of this role, he and his team manage the Global Equity program, which administers equity awards to over 30,000 employees in 70+ countries. Prior to that, he was Vice President, Securities and Executive Compensation at Del Monte Corporation, after having served as executive compensation counsel at the firms of Morrison & Foerster, O'Melveny & Myers, and Shearman & Sterling.

Event Details

Investors are urging companies to build environmental, social, and governance (ESG) considerations into their short and long-term strategy given the potential impact of ESG on stakeholder value creation. From award design to accounting and disclosure, this panel will offer a practical guide for how ESG can be effectively incorporated into the design of cash and equity incentive awards, including the types of goals that may be selected, how performance against these goals can be measured, and how such goals can work in conjunction with other performance goals and the company's business plan as a whole.
