Speaker Information

Panelists include:
Pam Greene, Partner, Aon
Partner at Aon on the Equity and Corporate Governance team in Aon’s Rewards Solutions practice. In this capacity, she consults on corporate governance, and equity and executive compensation on a wide range of issues, including: Equity Compensation Plan Design, Governance Reviews of Executive Employment Arrangements, Compensation Plans and Programs, Sarbanes Oxley and Dodd-Frank Compliance and Tax Compliance.

Kathryn Randall, Head of Stock Administration, Opendoor
A 20-year veteran having extensive knowledge in all aspects of stock administration, from IPO and SPAC preparation to ASC 718, employee communication and data integrity in software systems.
Extensive experience in stock plan management and the processes and procedures necessary for a smooth-running program.
 
Barrett Daniels, Partner, Deloitte
Barrett is a Partner in Deloitte's Accounting and Reporting Advisory Practice well as the US IPO Services Co-Leader and the West Region SPAC Leader. He has been primarily focused on IPO and other transactional advisory services including assistance with well over 50 IPO and SPAC related engagements. Barrett t joined Deloitte when his firm, Nextstep Advisory Services, was acquired by Deloitte. Previously, Barrett was an Operating Partner for SoftBank Investment Advisors overseeing the IPO readiness function for the Vision Fund portfolio. In addition, he was also the CFO of a SPAC – GigCapital.

Josh McGinn (moderator), Senior Vice President Western Region, AST Financial
Another veteran with over 33 years of experience providing shareholder services within the stock transfer industry administering full range of shareholder services for premier corporate issuers and IPOs. He works closely with his clients to develop and administer comprehensive and specialized solutions to address their unique needs and industry regulations. Recently, Josh has been busy managing Direct Listings, deSPAC mergers and Early Partial Lock-Up Releases.

Special Purchase Acquisition Corporations (“SPACs”) have now become a mainstream investment vehicle for the investing public and also a new way for private companies to become publicly traded. It is common to see private companies running a dual track strategy and entertaining a merger with a SPAC.  The deSPAC merger/exchange transactions can be complex especially with limitations on equity award treatments.
