Kevin Wells and Frank Garcia will discuss emerging practices in pay ratio disclosure, from both the practitioner perspective and the in house perspective.  Topics will include common practices in identifying the median compensated employee, how to decide whether to reidentify your median employee in the second and third year of disclosure, how to communicate the ratio in the proxy & to the companies’ various constituencies.

Kevin Wells
Kevin is a Director and Senior Consultant in Aon Hewitt’s Talent, Rewards & Performance practice. He is also a member of the Practice’s Global Technical Shared Services Team, which has global responsibility for technical areas impacting executive and director compensation.
As a member of Aon’s Corporate Governance practice, Kevin helps clients understand and assess their potential exposure under the multitude of corporate governance and executive compensation policies and guidelines established by proxy advisory firms and institutional shareholders. Areas of subject matter expertise and related consulting services include: (i) proxy advisory firm and institutional investor governance compliance, (ii) proxy ballot vote projections including director elections and say-on-pay, (iii) company dilution and equity plan share authorization modeling Institutional Shareholder Services (ISS), (iv) long-term incentive plan design, and (v) proxy disclosure preparation. Kevin received his Master of Laws in Securities and Financial Regulation from the Georgetown University Law Center,   Juris Doctor from the Catholic University Columbus School of Law, and Bachelor of Arts in Government from Connecticut College.  

Zally Ahmadi, DF King, Inc., Director, Corporate Governance & Executive Compensation
As the Director of Corporate Governance & Executive Compensation for D.F. King, Zally Ahmadi advises clients on topics such as investor outreach strategy and institutional investor/proxy advisory firm voting policies, best practices and trends regarding corporate structures and disclosure, and both quantitative and qualitative aspects of executive compensation programs. Zally oversees D.F. King’s Thought Leadership Initiative, and remains active in the industry through speaking engagements white paper contributions.

David Eaton, Aon Governance Services, Associate Partner

David Eaton is an Associate Partner with the Aon Governance services team, where he teams with other consultants to provide executive compensation, corporate governance, and shareholder outreach guidance and analysis. Prior to this, Mr. Eaton was Vice President of Proxy Research at proxy advisor Glass Lewis. At Glass Lewis, Mr. Eaton was responsible for the company's compensation analysis globally, including oversight and development of the firm’s say-on-pay policies.  Mr. Eaton is a frequent speaker at industry conferences, client events, and webcasts. He is a member of CII, GEO, NASPP and the Society for Corporate Governance.
