Speaker Information

Barbara Klementz is the managing partner of Baker & McKenzie LLP's Los Angeles, Palo Alto and San Francisco offices in California. She also leads the San Francisco/Palo Alto Global Equity Services subpractice and co-leads the San Francisco/Palo Alto Compensation and Employment Law Practice Group. She has practiced in the area of global equity and executive compensation for seventeen years and currently serves on the Board of Directors of the Global Equity Organization. Barbara has authored several articles on global equity issues for the BNA Executive Compensation Journal, Journal of Corporate Taxation and San Francisco and Los Angeles Daily Journal, among others, and she is the author of a blog on global equity related topics called the Global Equity Equation. She is also a frequent speaker on a variety of global equity topics. Barbara has been recognized as a ranked practitioner by Chambers USA 2017. Chambers states that she "consistently delivers top-notch assistance and work product, and is a true expert in the field." Barbara is admitted to private practice in California and Düsseldorf, Germany.
Sinead Kelly is a partner in Baker & McKenzie LLP's Compensation practice in San Francisco. She focuses her practice on US executive compensation and global equity and has practiced in the compensation field for over 13 years. Sinead advises on all aspects of equity compensation plans and arrangements, including plan design, administration, and global implementation, as well as compliance with federal and state corporate, securities and tax laws, stock exchange rules, accounting rules, and non-US tax and regulatory requirements. She also advises on the drafting and administration of nonqualified deferred compensation arrangements, director compensation programs, severance arrangements, change in control plans, employment agreements, short and long-term bonus plans, and other executive compensation arrangements. She is a member of the State Bar of California and the Law Society of England and Wales. She has an LL.B. from Queen's University Belfast and an LL.M. from the University of California, Hastings College of the Law.
Robyn Shutak is a practice leader for Computershare’s U.S. Plan Managers business and has more than 15 years of comprehensive experience with employee equity programs. In her current role, Robyn helps increase the company’s brand awareness in the U.S., cultivate new and existing relationships through content development and additional services, and as a subject matter expert, helps support Computershare’s products, events, and initiatives. Prior to joining Computershare, Robyn worked as a Senior Director at the Global Equity Organization (GEO) where she was instrumental in transforming their membership services, was the Education Director for the National Association of Stock Plan Professionals (NASPP) and has held positions at various corporate issuer companies in the San Diego area. Robyn is a Certified Equity Professional (CEP). She has served on the Certification Counsel of the CEP Institute and the Curriculum Committee and has been regularly recognized by the CEP Institute with Volunteer Excellence awards. Robyn is a frequent speaker on equity compensation topics and is a co-author of the book, “If I’d Only Known That,” published in 2011 by the NCEO. She served as the Programming Director for the San Diego Chapter of the NASPP for more than seven years. She holds a BA in English from San Diego State University and a Paralegal Certificate (with honors) from the ABA Paralegal Program at the University of San Diego.

Event Details

This special double session will explore the various challenges when designing and operating an employee stock purchase plan (with data analytics to boot), with the first session focusing on general and U.S. specific issues and the second session focusing on non-U.S. issues.

SESSION I: ESPP - General and U.S. Issues:
The first session will focus on general and U.S. challenges to offering a Section 423-compliant employee stock purchase plan, including design issues such as setting maximum share limits, defining eligible compensation, deciding whether to allow increases during offering periods, as well as operational issues such as properly designating participating corporations, managing the $25,000 limit, dealing with leaves of absence and reporting disqualifying (and qualifying") dispositions.

SESSION II: ESPP - Non-U.S. Issues
The second session will focus on non-U.S. challenges to offering an employee stock purchase plan (that is intended to be Section 423-compliant within the U.S.) outside the U.S., including design issues such as using an omnibus plan with a 423 and a non-423 component versus a non-423 sub-plan versus separate offerings to allow for different treatment required under local laws as well as dealing with operational issues such as managing payroll deductions and conversions on a global basis, withholding taxes at purchase, dealing with mobile employees and deciding whether and how to offer the plan in particularly challenging jurisdictions such as the EU, China, Vietnam.
