Greg Gautam focuses his practice on various areas of employee benefits, including qualified and
nonqualified retirement plans, health and welfare plans and executive compensation. He also advises clients on benefits and compensation issues in connection with corporate transactions. Greg uses his knowledge of employee benefits laws, regulations and the Internal Revenue Code to assist clients in achieving their human capital and compensation objectives.
Greg has experience in drafting and amending qualified retirement savings, deferred compensation and welfare benefit plans as well as advising clients with regard to the administration and compliance of such plans with the Internal Revenue Code and ERISA. In the executive compensation area, he has been involved in the representation of public and private companies and senior executives in connection with negotiating and drafting employment agreements, equity plans and awards, change in control agreements, severance agreements, and other compensation arrangements, including Section 409A compliance/corrections and Section 162(m) compliance.
In connection with mergers and acquisitions, Greg analyzes compensation and benefits issues and drafts and assists in the negotiation of key benefits provisions involving employee benefits representations and warranties, employee plan compliance, health and welfare liabilities, severance obligations, and COBRA obligations.
Greg is a co-chair of Snell & Wilmer’s Committee on Diversity and Inclusion and serves as a member of the firm's Attorney Development Committee.

Ken Sparling is a Principal at FW Cook, a consulting firm specializing

Since 1973, the firm has advised over 3,000 clients. Currently, it is
the leading independent adviser to Board Compensation Committees
of companies across major indices such as Dow Jones Industrials,
S&P 500, and Nasdaq 100.
He joined the firm in 2007 and is based in the Los Angeles office.
Ken regularly advises board compensation committees and
