Sinead Kelly is a partner in Baker McKenzie's Compensation practice in San Francisco. She advises on US executive compensation and global equity and has practiced in the compensation field for over 13 years. In her practice, Sinead advises US and non-US public and private companies on all aspects of equity and executive compensation plans and arrangements, including plan design, administration, and global implementation, as well as compliance with US federal and state corporate, securities and tax laws, stock exchange rules, accounting rules, and non-US tax and regulatory requirements. She has been recognized by Legal 500 as a leading lawyer for Executive Compensation and Employee Benefits and as "extremely knowledgeable." She is a member of the State Bar of California and the Law Society of England and Wales. She has an LL.B. from Queen's University Belfast and an LL.M. from the University of California, Hastings College of the Law.
Nicole is a partner in Baker McKenzie's Employment & Compensation Practice, with a focus on global equity services. She advises multinational companies on all facets of employee equity plans. She regularly assists public and private companies in offering their employee equity plans around the world. Nicole consults on plan design, tax considerations, securities filing and disclosure requirements, exchange control rules, labor law exposure, data privacy concerns and other compliance issues connected to offering employee equity plans in different jurisdictions. She also advises companies on the effects of mergers, reorganizations, spin-offs and other corporate adjustments on their equity programs. In addition, Nicole is seasoned in cross-border tax issues for equity awards held by mobile employees. Nicole is currently a member of the National Association of Stock Plan Professionals and the Global Equity Organization.
Ken is a senior relationship manager with Computershare Plan Managers. As a senior relationship manager, Ken works with his clients to help them effectively administer their Employee Stock Purchase and Equity Plans. He is intimately familiar with the issues plan sponsors face designing, implementing and administering a plan on a domestic and global basis. Ken has more than 19 years of experience working with corporate equity plans. Prior to joining Computershare in 2007, he spent 10 years with Citigroup, with the last 8 in their stock plan services group managing Fortune 500 companies. Ken also spent 4 years with Bankers Trust Company and 8 years with AT&T. Ken earned his Bachelor of Arts degree from Boston College and holds an MBA from Babson College. He earned his CEP certificate in 2012 and serves on the Board of the Connecticut NASPP Chapter.
