from KPMG’s M&A Services practice will lead a discussion of how equity compensation is analyzed and considered in M&A situations.  The discussion will include: the initial due diligence phase, how equity compensation is considered in the financial model, and planning opportunities which can range from forfeitures to roll-overs with each having different impacts on stock plan administration.

Anthony Conforti, KPMG LLP, Director, Strategy – M&A Services
 
Anthony has over 10 years of consulting experience and has advised clients on a broad range of domestic and international human capital issues.  He has extensive expertise in financial and operational human resources subjects such as compensation, equity incentives, defined benefit plans, pre and post-retirement healthcare, organizational development, and HR service delivery.
 
Anthony has worked on many large-scale global M&A transactions, representing both strategic and private equity buyers and sellers, working throughout the M&A life cycle across a number of industries.  He guides and advises on potential employee-related liabilities and costs triggered upon a transaction, including but not limited to executive arrangements, equity-based compensation awards, retention agreements, and severance plans.  Anthony’s experience also includes supporting preliminary deal evaluations and negotiations, providing input into purchase agreement terms to reflect desired deal economics and protections.
 
 
Gregory Kopp, KPMG LLP, Managing Director, Strategy – M&A Services
 
Greg has 25 years of experience providing human resources and compensation consulting services to senior management across a broad range of industries in both transactional (IPOs, acquisitions and divestitures) and non-transactional situations. He has also led the compensation function for two global publicly-traded asset management firms.
 
Greg has experience working with organizations across business situations – ranging from spin-offs that are developing their unique compensation strategy to companies that are redefining their business and rebalancing their rewards program with their refreshed business objectives. He has also worked with companies on the program implementation efforts; improving results and governance through process, communication, and technology. Greg’s clients have been in transactional situations; mergers, acquisitions, spin-offs, and initial public offerings. His in-house experience as the Head of Compensation for two global alternative asset managers has included hands-on IPO implementation experience.
