Spotlight on Human Capital Management: SEC Promulgates New Disclosure Rules

Presented by:

In August 2020, the SEC adopted amendments to Regulation S-K disclosure, to include a requirement that companies describe any human capital measures or objectives they focus on in managing the business, to the extent material to an understanding of the company’s business as a whole.

Because the disclosure requirements are principles-based, there was no specific guidance as to precisely what companies should disclose.  The SEC seems to be allowing companies and thought leaders to develop best practices on their own.  With that in mind, and an eye toward the rapidly approaching reporting season, we will discuss a checklist of possible human capital disclosure topics (and some suggested best practices) drawn from previous SEC guidance and other sources.

Please Note:  This NASPP meeting will be a Webinar.  Please RSVP so we can send you the url that will be used for the meeting.
