Best Practices for Director Compensation in Uncertain Times

Description: As we begin another year of uncertainty, companies are still determining the best ways to set compensation plans for the executive ranks, as well as the workforce at large. What, if any, new ideas are companies considering when it comes to directors’ compensation in these tricky times? How can companies prepare for the year ahead, what are other companies doing, and are there trends from the last five years that continue to be relevant?

Ed Steinhoff and Ryan Hourihan will share the latest board pay data for more than 1400 public companies, based on the forthcoming 2020/2021 annual Pearl Meyer/NACD Director Compensation Report, with proxy data from Main Data Group. They will also provide insights into what director pay actions their clients are considering for 2021.

They will highlight year-over-year trends in director pay levels and mix and meeting/committee fees. They will also discuss the growing disconnect between the board’s increasing responsibilities and time commitments driven by the complex business environment, and heightened scrutiny of director pay.

  • Members can check taking the following steps:
    • From our website, go to your Dashboard
    • Click on “Edit Profile”
    • Click “Chapters” from the left menu
    • You will see all the chapters and a checkbox will be next to the subscribed chapters. Members can change their chapter subscriptions there.
  • Non-members can initially subscribe using the orange “Sign Up for Chapter Emails” button on your chapter home page. This initial process of subscribing has the non-member set up a limited use account and gives them a limited dashboard to manage their email preferences.  After the initial setup, they’d manage their email subscriptions similar to how members manage their subscriptions, via the dashboard.
