Privately held companies face different considerations than their publicly held counterparts in offering stock compensation to employees . 

Depending on the life cycle stage of the emerging company, stock compensation may be issued with a very long term view in mind, or, in some cases, in preparation for an impendent IPO. Things like liquidity are usually central in considering how and when to issue stock compensation to employees within such an organization.
