Bio:

Jim Vincent is the Manager of the Consulting group at E*TRADE Financial Corporate Services.  His team provides custom Equity Compensation solutions for Clients who need assistance with Mergers/Acquisitions, ASC 718, IFRS 2, systems and file automation, and other complex projects.

Jim has over 17 years of experience in the equity compensation industry.  He regularly speaks on a range of Equity Compensation topics including compliance, valuation, expensing, global mobility, Mergers/Acquisitions, automation, and financial disclosure. He has been a frequent speaker at the local and national levels of E*TRADE’s Directions and NASPP conferences.

Jim earned his Bachelor's degree in Economics from California State University Long Beach, and has been a Certified Equity Professional since 1996. He currently is the President of the Sacramento chapter of NASPP.

Nathan O’Connor

Managing Consultant and Head of Valuation Services Group

Equity Methods

Nathan O’Connor is Managing Consultant and Head of the Valuation Services Group at Equity Methods.  In his role as the national valuation practice leader, Nathan oversees all client delivery, operations, and R&D in support of more than 200 valuation clients.  Nathan also works closely with the Financial Reporting Group and Business Development team at Equity Methods, and is responsible for formulating the firm’s policy positions on all technical topics related to equity compensation valuation.  As a Certified Base SAS programmer, Nathan has regularly contributed to the firm’s intellectual property through the design, development, and testing of new valuation models and processes.  He also has authored or served as a contributing author to many of Equity Methods’ white papers and industry practice alerts. 

 

Nathan is a nationally recognized speaker at industry events and frequently leads instructional webinars on industry best practices and recent trends in equity compensation valuation.  As an expert in the valuation of equity compensation instruments, he has directly consulted senior executives at several Fortune 50 companies and more than 100 companies of all sizes on the compliance requirements of ASC Topic 718.  Prior to joining Equity Methods, Nathan trained in the doctoral program in finance at the University of Arizona, where he lectured in investment securities and financial management and actively participated in consulting and research projects.  He brings a background of experience in financial analysis, programming, instruction, and data management to Equity Methods.  His interests include econometrics and the application of Bayesian methods to economic problems.  Nathan holds a B.A. in International Relations from Purdue University, an M.B.A. in Derivative Securities from Loyola University Chicago, and an M.S. in Finance from the Eller College of Management at the University of Arizona.

Bucky Swift, Partner, Snell & Wilmer

Bucky Swift is a partner in the Employee Benefits and Executive Compensation practice and has spent his entire career n the ERISA employee benefits area. Bucky partners with Boards of Directors, employers and individuals to design, draft and implement successful and responsible compensation plans and arrangements.

Bucky develops solutions on a broad range of benefits and compensation issues, including qualified and non-qualified retirement planning, compensation and benefits strategies for successful reductions-in-force, merger and acquisition compensation and benefits planning, and welfare benefit programs including issues under the new Health Care Reform law. Bucky concentrates in the executive compensation area and works with Boards of Directors, employers, individuals to develop executive compensation and incentive programs in both the privately-held and publicly-traded sectors. Bucky represents Boards of Directors, employers and executives alike in negotiating and drafting executive-level employment and change in control agreements and navigates his clients through the complicated rules affecting those arrangements, including Internal Revenue Code Sections 162(m), 280G and 409A. Jeff Beck, Partner, Snell & Wilmer

Jeff Beck's practice is concentrated in business and finance, with a focus on SEC reporting and compliance, mergers and acquisitions, bond and credit financing transactions, and corporate governance and securities law compliance. He assists public and private companies in raising capital through high yield bond transactions, secured and unsecured credit facilities, and common and preferred stock issuances. Prior to attending law school, Jeff was a senior audit manager at KPMG LLP in Phoenix, Arizona and audited some of the largest public companies in Arizona.

Melissa Sallee, Associate, Snell & Wilmer

Melissa Sallee is an associate at Snell & Wilmer whose practice is concentrated in general corporate and securities law with a focus on mergers and acquisitions, corporate governance, securities regulatory compliance, public and private offerings, and commercial agreements. She assists public and private companies in raising capital through secured and unsecured debt facilities and other structured finance offerings and common and preferred stock issuances.

·         Robyn Shutak, CEP, Education Director, NASPP
Robyn is the Education Director for the NASPP. Her responsibilities include implementing new educational programs and coordinating webcasts on industry-related developments. Prior to joining the NASPP, Robyn was the Senior Manager of Equity Compensation for Entropic Communications, Inc. where she managed all aspects of the company's global equity programs. Robyn is a Certified Equity Professional (CEP). She holds a Bachelors degree in English Literature from San Diego State University and a Paralegal Certificate from the ABA Paralegal Program at the University of San Diego. Biography of John T. Korinek, Ph.D.
 
John is one of the founders of PartnerComm and works with clients to improve employee and organization effectiveness through a variety of intervention strategies, but focusing on communication strategy and implementation.  John has worked with such companies as Cisco, REI, Virgin America, Tyco, Starbucks, Walmart, Washington Mutual, Kellogg, PepsiCo, Whirlpool, Burger King, Nestle, Fluor, Wyeth and Goodrich, among others. Before helping start PartnerComm in 1994, John was a principal with William M. Mercer Inc. and prior to that was a professor at both Baylor University and the University of Hawaii. He has a bachelor’s from the University of South Florida, a master’s from Western Kentucky University and a doctorate in organizational and interpersonal communication from the University of Texas at Austin.

Bios:
Jennifer Baehr, CEPJen serves as the Manager of Compliance and Financial Reporting for Computershare Equity Compensation Services. Jen started with Transcentive, now Computershare, in the support services group in 2000, and then moved to the product management area in 2004.
 
Jen helps to ensure that the Transcentive solutions allow our clients to meet the complex equity compensation reporting requirements set forth by the Financial Accounting Standards Board (FASB) and the Securities and Exchange Commission (SEC). Jen frequently consults with clients in the areas of financial reporting and best practices and also helps set offering strategy. Jen has been a speaker at the NASPP Annual Conference, the CEP Symposium and Transcentive Source Conferences on financial reporting and other topics.
 
She holds a bachelor’s degree in accounting from Central Connecticut State University, and graduate degrees in Management and Business Administration from Albertus Magnus College. Jen earned her CEP designation in November 2005, and is a volunteer for the Certified Equity Professional Institute (CEPI), and a member of the National Association of Stock Plan Professionals (NASPP).
 
 
 
 
 
Patty Brown, CEP – Patty serves as the Vice President of Product and isresponsible for the overall direction of the all Product Solutions for Transcentive. Including, the Equity Suite which encompasses the Express Options, Express Stock Purchase and Express Desktop applications. Patricia has over 20 years of experience in Equity Compensation. Prior to joining Transcentive, Patricia was the Director of Stock Programs for a large public healthcare company, where she was responsible for all aspects of the company’s equity compensation programs. In 2001, she joined the Transcentive Outsourcing group, now Computershare Plans Managers, as account manager responsible for administrator training and relationship management duties for a broad array of clients. Patricia also served as a member of the Financial Reporting Resources Center at Computershare where she assisted clients with using Computershare’s applications to meet their financial reporting needs. Recently Patricia was a member of the technical oversight board for the CEP Institute GPS Restricted Stock and Restricted Stock Units. Patricia earned her B.S in Business Administration from Sacred Heart University.
 
Patricia has been a speaker at the NASPP Annual Conference and Transcentive’s The Source Conference on administrative and other topics. Patricia earned her CEP designation in 2006 and is a member of both NASPP and the CEPI Technical Oversight Board.

In these difficult economic times, one thing is certain - companies are re-evaluating how they use equity compensation. The National Center for Employee Ownership (NCEO) and the Certified Equity Professional Institute (CEPI) recently partnered to collect ESPP information to aide companies in this effort.
 
Employee stock purchase plans are getting more focus as equity compensation plans are being reevaluated. Many advocates are suggesting ESPPs may be a more cost-effective, shareholder friendly way to provide for broad-based equity that is more immune to the rapid downward swings in stock prices. Others say these plans should play only a nominal role and offer minimal discounts. In the midst of this discussion, there has been no current data on plan practices to help companies make more effective decisions.

Emily Cervino, CEP, Director of the CEP Institute and Loren Rodgers, Project Director at NCEO will be sharing the survey results and what it means for the future of your ESPP.  With responses from 350 companies, presenters will discuss trends in ESPP design (discounts, offering periods, look-back features), rates of employee participation, plan satisfaction, and changes expected in 2010.

Loren Rodgers is a project director at the National Center for Employee Ownership, where he specializes in research, communications, and best practices for employee ownership companies. Active in the field since 1995, he works with firms on technical training, group norms, survey assessment, plan design, and communicating about transactions. He speaks extensively and writes for academic, trade, and employee-ownership publications in the US and abroad on topics including employee motivation, plan design, open-book management, corporate governance, ESOP education, organization dynamics, and business literacy.

As Director of the Certified Equity Professional Institute (CEPI) at Santa Clara University, Emily leverages her 12 years of experience in the equity compensation field to develop and promote the rigorous standards of the CEPI. Emily coordinates program marketing and development to grow the CEP program and the professional recognition. She also coordinates an extensive volunteer base in defining course curriculum, test development, and standard setting to comply with the rigorous certification standards. Under Emily's leadership, the CEPI launched a research agenda focusing on risks and controls for equity compensation. Elizabeth has been designing and product managing financial software for the past 15 years, eleven of those for equity compensation applications. Prior to product management, her software experience was in designing, testing, and supporting financial software applications.

Elizabeth regularly speaks on industry trends and product development at client and industry events including NASPP webcasts, GEO and NASPP Chapter meetings, User Groups, and the NASPP Annual Conference. Danyle Anderson serves as Programs Director for the National Association of Stock Plan Professionals (NASPP), a leading membership association committed to providing services to its members who specialize in all aspects of equity compensation that will enrich their professional skills, further their professional knowledge and, in general, enhance the stock plan profession at every level. 
 
Prior to joining the NASPP, Danyle spent twelve years as the Director of Investor Relations and Shareholder Services for Tech Data Corporation, a technology distribution company rated 109th on the Fortune 500®. In addition to heading the company’s various investor relations programs and communicating with investors and shareholders, Danyle had responsibility for all aspects of the company’s equity plans including accounting, tax and legal responsibilities for equity delivered in more than 38 countries.   Prior to Tech Data, Danyle spent five years as a member of the audit division of Deloitte & Touche LLP.
 
Danyle has nearly twenty years of experience in the accounting and equity compensation fields. She holds a Bachelor of Science degree in Accounting from the University of South Florida, is a Certified Public Accountant, a Certified Equity Professional and a frequent speaker on equity compensation related topics.

Mr. Meyers is a partner in the employee benefits practice of Seyfarth Shaw LLP. What methods are available and allowable under FAS 123(R) for estimating forfeiture? For applying those estimates to your company's expense? How and when should you true up to actual forfeitures? 

The goal of this presentation is to de-mystify the prevailing methodologies used for estimating, applying, and truing up forfeitures. After pulling back the curtain on these methods, we will match the different methods with each other; for example, if you calculate your forfeiture rate using an simple or aggregate formula, should you apply it on an annualized basis? (I'd give you a hint, but that would spoil the presentation!)

Topic:Trends in Stock Plan Design – Understanding what companies did yesterday, today – and where they are going tomorrow Carine Schneider, CEO of Global Shares, shares information from recent stock plan surveys and her experience working with companies to design and administer their plans. Carine has worked with companies throughout the world – both large and small, public and private. In addition to general survey information, Carine will share some stories about creative plan designs. Speaker: Carine Schneider, CEO, Global Shares Carine Schneider is the CEO and co-founder of Global Shares, an independent provider of stock plan administration and consulting services. Ms. Schneider has 20+ years of experience in equity and executive compensation, including four years of experience in a corporate environment. Prior to creating Global Shares, Carine held a senior level management position with Citigroup Stock Plan Services, was a partner with PricewaterhouseCoopers and was the Leader of the Global Stock Plan Services group at Watson Wyatt Worldwide. In 1992, Carine was the founding Executive Director of the National Association of Stock Plan Professionals (NASPP). Carine was also the Director of Customer Services for Corporate Management Solutions (now Transcentive) and was the Manager of Shareholder Relations at Oracle Corporation where she assisted in the initial public offering and managed all aspects of the company's various stock plans. In 1999, Ms. Schneider was a co-founder of the Global Equity Organization (GEO). She currently serves as the Chairperson of the Board of Directors. She is the Chair of the Advisory Board for the Santa Clara University Equity Professionals Certification Program. She is a member of GEO, NASPP and the NCEO. In addition, she is an invited member of the Advanced Share Studies Group in the United Kingdom. Carine was the business community representative on the National College of Ireland Accreditation Committee for the Masters Degree in Employee Ownership. Ms. Schneider was born in The Netherlands and speaks Dutch as well as English. She received her degree in Psychology and Sociology from the University of California, Santa Cruz. Topic:Implementing a successful Restricted Stock Unit program requires indepth knowledge of how this unique equity instrument operates. A poorly thought out RSU program can result in a large administrative burden on the company and, ultimately, employee frustration. Isn't employee satisfaction one of the main reasons for equity programs? During this workshop, you will learn some of the pitfalls to be aware of when implementing a Restricted Stock Unit program. Speaker: KEN SCULLY, CEP Ken Scully has 10 years of professional stock plan experience with both privately and publicly-held corporations. In March 2006, he joined Stock & Option Solutions, Inc. Topic:Insider Trading – Best Practices SEC Rule 10b5-1 allows officers, directors and other insiders of publicly traded companies to transact in their company shares at all times, not just during open trading windows. This gives corporate insiders expanded trading opportunities and helps prevent insider trading issues. If you are a corporate officer of a public company or administer transactions for those who are, it may be time to explore 10b5-1 plans further.
