The IRS recently issued its highly anticipated final regulations on Sections 6039 and 423 of the Internal Revenue Code. The final regulations clarify the information return and information statement requirements under Section 6039 for incentive stock options and employee stock purchase plan (ESPP) transactions and address a number of areas of uncertainty with respect to ESPP design and administration, including eligibility requirements for plan participants, determination of grant date and the application of the $25,000 limitation. This webcast will review the final regulations and will discuss what companies need to do to bring their plans into compliance with them.
