A comprehensive guide to restricted stock plans presented by the
National Association of Stock Plan Professionals
Why we offer this program:
Restricted stock is one of today's hottest trends in stock compensation—especially now, given the current market instability and media and regulator denunciations of stock options. Are you prepared to administer these plans? Restricted Stock Essentials will give you the substantive knowledge necessary to implement or administer this emerging form of equity compensation.
Restricted Stock Essentials
- $595 for NASPP Conference registrants ($695 after June 26, 2009)
- $795 for non-registrants/members ($895 after June 26, 2009)
- $1,495 for non-registrants/non-members

The Program
Extensive program materials lay a foundation of the basic principles and
concepts of restricted stock and then build on that foundation to introduce
increasingly more complex regulatory and administrative nuances, exceptions, and
varying interpretations. Seasoned professionals present the materials, answer
your questions and network along with the group. Attendees will attain the
knowledge necessary to better analyze their own restricted stock plans and
determine how their plans fit into the standards and regulations.
What We Cover:
- Characteristics, requirements, and tax treatment of restricted stock awards, restricted stock units, and restricted stock purchase plans.
- Special tax law considerations, including Section 83(b) elections and Section 409A issues (including deferral elections).
- Critical considerations and best practices for tax withholding.
- Accounting treatment of restricted stock, including valuation and earnings per share.
- Best practices for accurate and efficient restricted stock plan administration.
