A comprehensive guide to restricted stock plans presented by the National Association of Stock Plan Professionals

Why we offer this program: The use of restricted stock and unit awards continues to grow, with more companies granting awards deeper into their organizations. According the NASPP's 2010 Domestic Stock Plan Survey co-sponsored by Deloitte Consulting, 89% of companies reported the existence of a restricted stock or unit program—that's almost all survey respondents. Yet, many companies remain challenged by certain practices for these programs, such as administering tax withholding programs, meeting the IRS deposit deadlines, accelerating vesting upon retirement, and dividend payments. This intensive one-day program will offer best practices for managing these plans and provide insight how to handle the more technical challenges.

Extensive program materials tackle complex regulatory and administrative nuances, exceptions, and varying interpretations. Attendees will attain the knowledge necessary to better analyze their own restricted stock plans and determine how their plans fit into the standards and regulations.

  • Tax withholding and reporting challenges for U.S. and non-U.S. participants, including using Rule 10b5-1 plans for tax payments and meeting IRS federal tax deposit requirements
  • Mechanics of share withholding and sell-to-cover transactions to facilitate tax withholding obligations
  • Implications of acceleration of vesting upon retirement and solutions for managing awards with this provision
  • Managing deferred compensation payment restrictions under IRS Section 409A and avoiding ERISA coverage
  • Financial reporting and accounting for restricted stock
  • Earnings per share considerations
  • Paying dividends on restricted stock and dividend equivalents rights on restricted stock units

Pre-Requisites

This is an intermediate to advanced course. Individuals attending this program should be familiar with the fundamental tax, accounting, legal, and administrative requirements for restricted stock and unit programs. Individuals that are new to restricted stock and unit programs should read the article "Restricted Stock Plans," available in the NASPP's Restricted Stock Portal and may want to complete the NASPP program "Restricted Stock Essentials," before attending this course.
