Topic:“Net Withholding Provisions Ain’t Boring No More!” Description: Due to recent increased scrutiny on net withholding of equity awards (e.g., recent shareholder litigation alleging non-compliance with Rule 16b-3, and FASB’s changed position on maximum withholding rate), the topic of “net withholding” went from somewhat dull to front-and-center interesting. The purpose of this discussion is to cover: • Shareholder litigation/focus with respect to Rule 16b-3 and matchable transactions; • How to implement increased tax withholding without shareholder approval under FASB and applicable listing rules; • Impact of recent FASB net withholding rules on equity administration with respect to non-U.S. countries; • How to implement increased tax withholding under the tax regime, including ideas on how to help streamline compliance with the aggregate method of withholding and next day deposit rules; • Implementing tax withholding during a blackout: net withholding provisions v 10b5-1 compliant sales in the open market; • Impact on accounting rules and liability classification; and • Other miscellaneous thoughts (i.e., ISS thoughts, SOX prohibition on loans to insiders, etc.)
